(b) The company repaying, or providing for the repayment of, the ordinary stock in accordance with terms and conditions of issue thereof and the provisions of the trust deed (as amended pursuant to this resolution) not later than the effective date (as defined in paragraph 5 of this resolution):

5. In this resolution:

(a) Words and expressions defined in the trust deed shall have the same meanings where used in this resolution; and

(b) "Effective date" means a date to be selected by the company as the date upon which such of the paragraphs of this resolution as are expressed to take effect from and including the effective date shall so take effect, which date shall be a day which is not:

(i) Earlier than the date on which the company receives notice from the trustee confirming that the trustee has received from all holders of security stock their respective consents to the giving effect to of this resolution in accordance with its terms; nor

(ii) Earlier than the date on which the company has repaid, or provided for the repayment of, all the ordinary stock in accordance with the terms and conditions of issue thereof (as amended pursuant to this resolution) and the provisions of the trust deed; nor

(iii) Later than 30 June 1989.

Notes for Bearer Stockholders:

(a) The bearer of a bearer stock certificate is entitled to be present at a meeting of holders of stock of Fletcher Challenge Ltd. and be counted in a quorum, and to vote at the meeting, upon presentation of the bearer stock certificate at the meeting.

(b) The bearer of the voting authority is entitled to be present at a meeting of the holders of stock of Fletcher Challenge Ltd. and be counted in a quorum, and to vote at the meeting, upon presentation of the voting authority at the meeting.

(c) A voting authority may be obtained by the holder of bearer stock by lodging the bearer stock certificate(s) with AMP Perpetual Trust Company N.Z. Ltd. (the trustee) at any of its branches specified below and obtaining from the trustee such document.

Morris Walsh & Gatfield Ltd. with reference to Reid Home & Lifestyle Ltd. hereby gives notice that on the 7th day of February 1989, it appointed John Lawrence Fisher, chartered accountant of Whakatane, whose office is in the Housing Corporation Building, Pyne Street, Whakatane, as receiver of the property of Reid Home & Lifestyle Ltd. under the powers contained in an instrument dated the 13th day of December 1988. The receiver has been appointed in respect of all the company’s undertaking and all its real and personal property and all its assets and effects, whatsoever and wheresoever, both present and future, including its uncalled and unpaid capital.
