Notice of Appointment of Receivers and Managers

Pursuant to Section 346 (1) of the Companies Act 1955

The New Zealand Guardian Trust Company Ltd., an incorporated company having its registered office at Auckland ("the trustee"), hereby gives you notice that on the 2nd day of February 1989, it appointed Paul Richard Preston and John Anthony Waller, both of Auckland, chartered accountants, jointly and severally, as receivers and managers of all the property of the company charged by a certain supplemental trust deed dated the 30th day of June 1988, made between the company and the trustee, a copy of which was duly registered with the Registrar of Companies at Auckland.

The property in respect of which the receivers and managers have been appointed comprises all the company’s undertaking and assets whatsoever, both present and future, situated within New Zealand, including its uncalled capital and called but unpaid capital for the time being.

The situation of the office of the receivers and managers is the office of Messrs Price Waterhouse, Chartered Accountants, Quay Tower, 29 Customs Street West, Auckland 1.

Southland Development Corporation Ltd., hereby gives notice that on the 2nd day of February 1989, it appointed Messrs Barry Charles Thomas and Robin Joseph Goodall of Ernst & Whinney, chartered accountants, to be jointly and severally receivers and managers of the property of the above-named company under the powers contained in an instrument dated the 9th day of October 1987, being a second debenture from Mel McKenna Motors Ltd., to Southland Development Corporation Ltd. The receivers have been appointed in respect of all the company’s undertaking, and all its assets and effects, whatsoever and wheresoever, both present and future, including its uncalled and unpaid capital.
