Notice is hereby given that having filed a declaration of solvency in compliance of section 274 of the Companies Act 1955, the following special resolution was duly passed on the 28th day of November 1989 at an extraordinary general meeting of the company held in Invercargill:

(1) That in order that the company can complete the restructuring with Southwold Corporation Ltd. that the company be wound up voluntarily.

(2) That Neville Gordon Low be appointed liquidator for the purposes of such winding up.
