Notice of Annual General Meeting to Consider Special Resolutions

In the matter of the Companies Act 1955, and in the matter of
The New Zealand Salmon Company Ltd.

Notice is hereby given that the annual general meeting of the members of the above-named company will be held on Thursday the 21st day of December 1989 at 2 p.m. in the Great Hall at the Quality Inn Chateau, 189 Deans Avenue, Riccarton, Christchurch.

Special Business:

It is intended to consider at this meeting and, if thought fit, to pass the following special resolutions:

"That pursuant to sections 15A (5) and 18 (1) (a) and (c) of the Companies Act 1955, the memorandum of association of the company is hereby amended by omitting all the objects the powers of the company contained therein and that henceforth the company shall have the rights, powers and privileges of a natural person (including the powers set out in sections 15A (1) (a) to (h)), and

That accordingly the present memorandum of association of the company is amended and the memorandum of association presented to the meeting and initialled by the chairman of the board for the purposes of identification is hereby adopted as the memorandum of association of the company."

A copy of the proposed memorandum of association is available for inspection at the offices of Buddle Findlay at either:

• Stock Exchange Centre, 191-201 Queen Street, Auckland;
• BNZ Centre, 1 Wills Street, Wellington;
• 13 Clarendon Towers, 78 Worcester Street, Christchurch;

or from the company secretary, Ernst & Young at the Health Board House, 229 Moray Place, Dunedin or on request from the company.

Members are entitled to appoint a proxy to attend and vote in their place at the meeting. The proxy form must be received at the registered office of the company 48 hours before the time of the meeting. The proxy need not be a member of the company.
