Notice of Resolution for Members Voluntary Winding Up and Notice to Debtors to Prove Claims

In the matter of the Companies Act 1955, and in the matter of Rockdale Farm (Onga Onga) Ltd. (in liquidation):

Notice is hereby given that by a duly signed entry in the minute book of the above-named company on 30th January 1989, the following special resolution was passed by the company:

“That the company be wound up voluntarily”

A declaration of solvency has been filed with the Registrar in accordance with section 274 (2) of the Companies Act 1955.

Notice is further given that the liquidator of the said company Rockdale Farm (Onga Onga) Ltd., which is being wound up voluntarily hereby fixes the 17th day of March 1989, as the day on or before which the creditors of the company are to prove their debts or claims and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved or, as the case may be, from objecting to the distribution.

Notice is hereby given that by an entry in the minute book of the above company on the 2nd day of February 1989, that the following special resolution was duly passed:

Resolved this day as a special resolution that:

1. The company be wound up voluntarily, and
2. Lindsay Cuthbert Winter, chartered accountant of Auckland be appointed liquidator for the purposes of winding up.
