Notice of General Meeting to Amend Memorandum of Association

Notice is hereby given, pursuant to section 18 (5) of the Companies Act 1955, that the annual general meeting of members of Elders Resources NZFP Ltd. (“the company”) will be held in the Rangitoto Ballroom, Sheraton Hotel, Symonds Street, Auckland, New Zealand on Thursday, 16 November 1989 at 11 a.m., at which it is intended to propose, amongst other resolutions, a special resolution for the alteration of the provisions of the memorandum of association of the company with respect to its objects and powers. The following resolution will be considered and, if thought fit, passed at the meeting:

“That the memorandum of association of the company be and is hereby altered by omitting paragraph II of the memorandum including all the objects and powers set out in that paragraph and that the company shall have the rights, powers and privileges of a natural person (including the powers referred to in subsection (1) (a) to (h) of section 15A of the Companies Act 1955).”
