Notice of Resolution for Voluntary Winding Up

Pursuant to Section 269 of the Companies Act 1955

In the matter of the Companies Act 1955, and in the matter of Harvey Boyden Farm Ltd.:

Notice is hereby given that by an entry in the minute book, signed as provided by section 362 (1) of the Companies Act 1955, the above-named company on the 30th day of September 1989, passed the following special resolution, namely:

"That the company be wound up voluntarily and that Basil Edwin Brooker of Hastings, chartered accountant, be and he is hereby appointed liquidator for the purposes of winding up the company and distributing its assets."

Notice of Members Winding Up

Notice is hereby given that the following special resolution was passed by the members of each of the above-named companies by duly signed entry in the minute book on the 27th day of September 1989:

"That a declaration of solvency having been filed in accordance with section 274 (2) of the Companies Act 1955, the companies be wound up voluntarily and John Herbert West, chartered accountant of Nelson, be appointed liquidator."

Pursuant to regulation 85 (2) of the Companies (Winding Up) Rules 1956 the liquidator has fixed the 31st day of October 1989, as the day on or before which the creditors of the above-named companies are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved or, as the case may be, from objections to the distributions.
