"Resolved this 29th day of September 1989, by means of an entry in the minute book pursuant to section 362 (1) of the Companies Act 1955, that the company having transferred its business and having ceased to trade and a declaration of solvency having been filed in accordance with section 274 (2) of the Companies Act 1955, the company be wound up voluntarily and Clifton James Nichol, Chartered Accountant, 60A Victoria Avenue, Whangarei, be appointed liquidator."
