Notice is hereby given to you that pursuant to section 78 on the 22nd day of September 1989 the Order hereunder was made by the High Court of New Zealand Christchurch Registry confirming reduction of share capital of the company and including a minute noting the share capital of the company as altered.

The authorised or nominal share capital of Consolidated Hardwood Industries Ltd. (formerly Prodigal Gold Ltd.) is $40,937,266 divided into:

(i) 47,698,600 issued and fully paid ordinary shares of 6 cents each, and

(ii) 152,301,400 unissued and unclassified shares of 25 cents each.

The issued and paid up share capital of Consolidated Hardwood Industries Ltd. (formerly Prodigal Gold Ltd.) is $2,861,916.00 divided into:

(i) 47,698,600 issued and fully paid ordinary shares of 6 cents each.

As a result of the reduction of capital authorised by a special resolution of the company passed at the extraordinary general meeting of the company held on 31 July 1989 and subsequently confirmed by the High Court such authorised or nominal capital of the company has been reduced from $50,000,000 to $40,937,266 by the reduction of capital of 19 cents each in respect of each of the 47,698,600 issued and fully paid ordinary shares of 25 cents each.

As a result of the said reduction of capital the issued and paid up share capital of the company has been reduced from $11,924,650 divided into 47,698,600 issued and fully paid ordinary shares of 25 cents each to $2,861,916 divided into 47,698,600 issued and fully paid ordinary shares of 6 cents each.
