Notice of Resolution for Voluntary Winding Up and Notice to Creditors to Prove Rents or Claims

In the matter of the Companies Act 1955, and in the matter of Malcolm Harry Souvenirs Ltd. (in voluntary liquidation):

Notice is hereby given that having filed a declaration of solvency in compliance of section 274 of the Companies Act 1955, the following special resolution was duly passed on the 18th day of September 1989 by means of an entry in the minute book of the company, pursuant to the provisions of section 362 of the Companies Act 1955:

  1. That the company be wound up voluntarily.

  2. That Derek Boyd Hughey be and is hereby appointed liquidator for the purpose of winding up the affairs of the company and distributing the assets and may divide and vest the assets of the company as the liquidator thinks fit.

That a declaration of solvency having been filed by the above-named company in accordance with section 274 (2) of the Companies Act 1955, the company be wound up and that Alan McKenzie Larsen, chartered accountant of Palmerston North, be appointed liquidator.

And furthermore, notice is hereby given that the undersigned, the liquidator of Havill Street Flats Ltd. (in liquidation) which is being wound up voluntarily, doth hereby fix the 15th day of October, to prove their debts or claims and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved, or, as the case may be, from objecting to the distributions.
