Advertisement of Application for Orders

Under Section 209 of the Companies Act 1955

Take notice that on the 28th day of September 1989, an application for orders under section 209 of the Companies Act 1955, in respect of Cambrial Central Limited (“Cambrial”), Warwick John Filleul (“Filleul”), and Roger Giles Barry (“Barry”), was filed in the High Court at Auckland.

The orders sought are as follows:

(a) That Filleul and Barry be required to purchase Casement’s shares in Cambrial for $490,000 and that Casement release Cambrial from the obligation to repay the advance; or, alternatively,

(b) That Filleul and Barry be required to purchase Casement’s shares in Cambrial for the nominal sum of $1, and repay the advance ($560,000), less Casement’s share of the loss under the joint venture agreement ($70,000), a balance of $490,001; or, alternatively,

(c) That Casement be authorised to issue proceedings in the name of Cambrial against Filleul and Barry to recover the damages suffered as a result of the actions of Filleul and Barry.

The application is to be heard before the High Court at Auckland on the 28th day of September 1989 at 10 a.m.

Any person, other than Cambrial, Filleul and Barry, who wishes to appear on the hearing of the application must file an appearance not later than the second working day before the day the application is to be heard that day.

The applicant is Casement Holdings Limited (“Casement”), whose address for service is at the offices of Russell McVeagh McKenzie Bartleet & Co., Solicitors, Eleventh Floor, Tower 1, The Shortland Centre, 51-53 Shortland Street, Auckland.
