2. That as the company is able to meet all of its debts within 12 months of the date of this resolution the directors caused a declaration of solvency to be filed with the Registrar of Companies.

3. That Peter Franciscus Koolen of Huntly, company director, be appointed liquidator for the purpose of winding up the affairs of the company and distributing the assets and that the remuneration of the liquidator be fixed.

4. That for the purposes of any in specie transfer of the assets of the company the shareholders are required to:

   (a) Acknowledge that any such transfer is exclusive of Goods and Services Tax and that such tax, if any, shall be payable by the shareholders and for the purposes of this resolution the company acknowledges that the properties owned by the company situated at Huntly both fully tenanted and therefore are rated zero as going concerns.

   (b) That the shareholders take over the assume liability for any secured liabilities of the company in the form of mortgages whether registered or unregistered against any real property asset of the company.
