Notice of Resolution for Voluntary Winding Up

In the matter of the Companies Act 1955, and in the matter of Tasgold Holdings Ltd.

Notice is hereby given that by duly signed entry in the minute book of the above-named company on the 1st day of September 1989 the following special resolution was passed by the company:

"That a declaration of solvency having been filed in accordance with section 274 (2) of the Companies Act 1955, the company be wound up voluntarily and Douglas George Sandom of Upper Hutt, chartered accountant, be and is hereby appointed liquidator of the company."

Nielsens & Brown Ltd., trading as Manukau City Energy Centre

Nielsen & Brown Ltd. is being wound up as part of the rationalisation of the trading activities of Mr and Mrs G. R. Nielsen. The trading activities of G.R. & E.B. Nielsen Ltd. are not affected by this liquidation and this company will continue to trade. The winding up of the company is by way of members voluntary resolution and has been preceded by a declaration of solvency filed with the Registrar of Companies.

Notice to Creditors to Prove Debts or Claims

In the matter of the Companies Act 1955, and in the matter of Nielsen & Brown Ltd. (in liquidation):

Notice is hereby given that as the liquidator of Nielsen & Brown Ltd., which is being wound up voluntarily, I fix the 11th day of September 1989 as the day on or before which the creditors of the company are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved or, as the case may be, from objecting to the distribution.

Notice is hereby given that by entry in the minute book of the above-named company on the 23rd day of August 1989, the following special resolution was passed by the company, namely:

"That the company be wound up voluntarily and James Michael McDonald, chartered accountant of Auckland, be and hereby is appointed liquidator of the company."

Note: The company is solvent and is being wound up pursuant to a restructuring arrangement. A declaration of solvency was filed at the companies office on 8 August 1989.
