In the matter of the Companies Act 1955, and in the matter of Meat Traders (NZ) Ltd.:

Notice is hereby given that by duly signed entry in the minute book of the above-named company on the 8th day of August 1989, the following special resolution was passed by the company, namely:

"That the company be wound up voluntarily."

A declaration of solvency has been filed with the Registrar of Companies.

Notice is hereby given pursuant to section 269 (1) of the Companies Act 1955, that an extraordinary general meeting of the above-named company held on the 1st day of August 1989, the following extraordinary resolution was passed by the company:

  1. That a declaration of solvency having been filed in accordance with section 274 (2) of the Companies Act 1955, the company be wound up voluntarily.

  2. That Alvyn Graham Relph, chartered accountant of 27 Kaikoura Street, Maupuia, Wellington, be appointed liquidator.

  3. That pursuant to section 294 (1) (a) of the Companies Act 1955, the liquidator be authorised to exercise the powers contained in subparagraphs (d), (e) and (f) of section 294 (1) of the Companies Act 1955.

That the declaration of solvency having been filed in accordance with section 274 (2) of the Companies Act 1955:

  1. The company be wound up voluntarily as prescribed under section 268 of the Companies Act 1955.

  2. Antony Weston Shand of Christchurch, chartered accountant, be appointed liquidator.

Notice of Resolution for Voluntary Winding Up

Pursuant to Section 269 of the Companies Act 1955

In the matter of the Companies Act 1955, and in the matter of W. A. & E. A. Gault Ltd.

Notice is hereby given that by extraordinary resolution of shareholders passed by entry in the minute book dated the 20th day of July 1989, it was resolved:

(a) That the company be wound up voluntarily.

(b) That Alistair James Gibson of Rotorua, chartered accountant, be and he is hereby appointed liquidator for the purpose of winding up the affairs of the company distributing the assets.

In the matter of the Companies Act 1955, and in the matter of Husmac Holdings Ltd.:

Notice is hereby given that the following special resolution was passed by the members of the above company by duly signed entry in the minute book on the 8th day of August 1989:

"That the company, having filed a declaration of solvency be wound up voluntarily and that Denis James Daly of Nelson, chartered accountant, be appointed liquidator."

Pursuant to regulation 85 (2) of the Companies (Winding Up) Rules 1956, the liquidator has fixed the 31st day of August 1989, as the day on or before which the creditors of the above-named company are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved or, as the case may be, from objecting to the distributions.

Note: This company has ceased trading, all debts will be paid in full, and the assets are being transferred to the shareholders as part of a financial rearrangement.

Notice is hereby given in accordance with section 269 of the Companies Act 1955, that the members of the above-named company passed the following special resolution by way of entry in the minute book pursuant to section 362 of the Companies Act 1955 on the 9th day of August 1989:

  1. That the company be wound up voluntarily.

  2. That Anthony Lee Savage of Nelson, chartered accountant, be appointed liquidator of the company for the purpose of the winding up of the affairs and distributing the assets of the company.

  3. That Anthony Lee Savage's usual fee be paid from the surplus assets of the company available for distribution.
