Box 1206, Invercargill, as receivers and managers of all the assets of the above company under the power contained in an instrument dated the 8th day of March 1985, being a debenture from Service and Warhurst Holdings Ltd. to Westpac Banking Corporation.

Anchor Acceptances Ltd., a duly incorporated company having its registered office at Hamilton (“the debenture holder”) hereby gives notice that on the 21st day of July 1989, it appointed Ian McCormick Sommerville and Ian Michael Pennell, both of Hamilton, chartered accountants, jointly and severally as receivers and managers of the undertaking property and assets (including the goodwill stock chattels and debtors) charged by a debenture dated the 24th day of August 1988 given by Rademaker and Lenwood Textiles Ltd. (in liquidation) in favour of the debenture holder.

The situation of the office of the receiver is care of Deloitte Haskins & Sells, N.Z.C.D.C. Building, London Street, Hamilton.

Notice of Appointment of Receivers and Managers

In the matter of the Companies Act 1955, and in the matter of Northrop Instruments and Systems Ltd. (in receivership) (formerly Datamatic New Zealand Ltd.), a duly incorporated company having its registered office at Wellington:

Datamatic Holdings Ltd., a duly incorporated company having its registered office at Sydney, New South Wales, hereby gives notice that on the 27th day of July 1989 they appointed Roy James Cowley and Roland Stutz, both of Wellington, chartered accountants, jointly and severally as receivers and managers of the property of this company under the powers contained in a debenture dated the 23rd day of March 1989 which property consists of all the company’s undertakings and all its assets and goodwill, whatsoever and wheresoever, both present and future, including uncalled and unpaid capital of the said Northrop Instruments and Systems Ltd.

The offices of the said receivers and managers are situated at Touche Ross & Co., Investment Centre, corner Featherston and Ballance Streets, P.O. Box 2691, Wellington.

In the matter of Justin Case Eleven Ltd. (“the mortgagor”), and in the matter of a memorandum of mortgage dated the 22nd day of July 1987 given by the mortgagor in favour of United Building Society (“the mortgagee”) affecting the land in certificates of title 61A/583, 61A/584 and 61A/585 (North Auckland Land Registry) (“the land”):

Whereas the mortgagee executed the mortgage in favour of the mortgage to secure repayment to the mortgagee in an advance of $700,000.00 made by the mortgagee to the mortgagor on terms and conditions as therein contained and also as set out in a finance agreement dated the 22nd day of July 1987 and to secure interest thereon and all other moneys mentioned therein owing by the mortgagor to the mortgagee (as defined in the mortgage).

And whereas in terms of the mortgage the mortgagor covenanted and agreed to duly and punctually pay the moneys secured by the mortgage at the times and in the manner agreed upon.

And whereas the mortgagor has made default under the mortgage in that it has failed to make payments of moneys secured under the mortgage in terms of it and the loan agreement.

And whereas upon such default the mortgagee is by clause 16 of the mortgage entitled to appoint a receiver of the income of the land or any part thereof.

Now therefore in pursuance of the power conferred by the mortgage, the mortgagee hereby appoints John Anthony Waller of Auckland, chartered accountant, to be the receiver of the income of the land with all and each of the powers conferred upon a receiver under the provisions of the mortgage and by law.
