BlENHEIM on Friday, the 11th day of August 1989, commencing at 2 p.m. for the purpose of having an account laid before it showing how the winding up has been conducted and the property of the company has been disposed of and to receive any explanation thereof by the liquidator.

Further Business:

To consider and if thought fit to pass the following resolutions with or without amendment as extraordinary resolutions, namely:

  1. That the liquidator shall be permitted to divide amongst the members of the company in kind, the whole or any part of the assets of the company (whether or not they consist of the property of the same kind).

  2. That upon completion of the winding up, the books of the company be deposited into the care of Miranda Jane Clervaux Chaytor and that they remain in her care for at least 5 years from the completion of the winding up and that thereafter she may dispose of such books according to her discretion.

Members are reminded that the Third Schedule (Table A) to the Companies Act 1955 applies and attention is therefore particularly drawn to the provisions of Table A relating to the proceedings at general meetings and votes of members.

Notice is hereby given in pursuance of section 281 of the Companies Act 1955, that a general meeting of the above-named company will be held at the office of Ryan, Lynch & Lynch, Chartered Accountants, 79 Childers Road, Gisborne on Friday, the 4th day of August 1989 at 9 a.m. for the purpose of having an account laid before it showing how the winding up has been disposed of, and to receive any explanation thereof by the liquidator.

Every member entitled to attend and vote at the meeting is entitled to appoint a proxy to attend and vote instead of him. A proxy need not also be a member.

  1. That by reason of all trading activities of the company having ceased, that the company, having filed a declaration of solvency, be wound up voluntarily.

  2. That Russell Stuart Hay of Auckland, chartered accountant, be and is hereby appointed liquidator.

The liquidator hereby fixes the 10th day of August 1989 as the day on or before which the creditors of the company are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved or, as the case may be, from objecting to the distribution.
