Further Business:
To consider and if thought fit to pass the following resolution as an extraordinary resolution pursuant to section 328 of the Companies Act 1955, namely that:

"The liquidator be authorised to dispose of the books of the company and of the liquidator as he thinks fit."

Notice is hereby given that by means of an entry in the minute book of Howick Transport Ltd, in accordance with section 362 of the Companies Act 1955, the following resolution was passed on the 23rd day of June 1989:

"That the company having filed a declaration of solvency in compliance with section 274 (2) of the Companies Act 1955, be wound up voluntarily and that Jonathan Paul Stuart Hislop of Auckland, chartered accountant, be appointed liquidator."

Jennifer Rush for a period of 5 years from the date of this resolution.

Every member entitled to attend and vote at the meeting is entitled to appoint a proxy to attend and vote instead of him. A proxy need not also be a member.
