Notice Calling Final Meeting

In the matter of the Companies Act 1955, and in the matter of J H Scougall Ltd. (in voluntary liquidation):

Notice is hereby given in pursuance to section 281 of the Companies Act 1955, that the general meeting of J H Scougall Ltd. (in voluntary liquidation) will be held in the Boardroom of Deloitte Haskins & Sells, corner Queen and Warren Streets, Hastings on 28 July 1989 at 2 p.m., for the purpose of having the accounts laid before them showing how the winding up has been conducted.

Further Business:

To consider and if thought fit to pass in respect of the above company the following resolution as an extraordinary resolution, namely:

"That all books and papers of the company and the liquidators be handed to the liquidator for retention in safe custody for the period required by law and thereafter for disposal by them in such manner as they may think fit."

"That all assets and liabilities of the company be transferred to the shareholders in specie."

Notice is hereby given that having filed a declaration of solvency in compliance with section 274 of the Companies Act 1955, the following special resolutions were duly passed on July 1989, by means of an entry in the minute book of the company pursuant to the provisions of section 362 of the Companies Act 1955:

1. That the company be wound up voluntarily.

2. That Peter Jansen Oborn of Auckland, chartered accountant, be and is hereby appointed liquidator for the purpose of winding up the affairs of the company and distributing the assets.

Notice is further given that the undersigned, the liquidator of Torr Hi-Fi Centre Ltd.
