That a declaration of solvency having been filed in accordance with section 274 (2) of the Companies Act 1955 the company be wound up voluntarily.

Notice is hereby given pursuant to section 281 of the Companies Act 1955 that a general meeting of the above company will be held at the offices of Messrs Sharp Tudhope, Solicitors, New Zealand Insurance Building, 35 Grey Street, Tauranga on Wednesday, the 19th of July 1989 at 5 o'clock in the afternoon for the purpose of having an account laid before it showing how the winding up is being conducted and the property of the company has been disposed of and to receive any explanation thereof by the liquidator; and to consider and if thought fit to pass the following resolution as an extraordinary resolution, namely:

That the books and papers of the company and of the liquidator be disposed of by handing the same to Messrs Coopers & Lybrand, Chartered Accountants, Durham Street, Tauranga.

Every member entitled to attend and vote at the meeting is entitled to appoint a proxy to attend and vote instead of him. A proxy need not also be a member.

Notice Calling Final Meetings of Members and Creditors

In the matter of the Companies Act 1955, and in the matter of Carpenter Properties Ltd. (in liquidation):

Notice is hereby given in pursuance of section 291 of the Companies Act 1955, that meetings of the members and creditors of the above-named company will be held at the offices of Peat Marwick, Tenth Floor, National Mutual Centre, 41 Shortland Street, Auckland, not later than 4 o'clock in the afternoon on the 21st day of July 1989 for the purpose of having an account laid before the meetings showing how the winding up has been conducted and the property of the company has been disposed of, and to receive any explanations thereof by the liquidator and to determine the manner in which the books, accounts and documents of the company and of the liquidator are to be disposed of.

Every member or creditor entitled to attend and vote at the meetings is entitled to appoint a proxy to attend and vote instead of him. A proxy need not also be a member or creditor respectively.

Proxies to be used at the meetings must be lodged at the offices of Peat Marwick, Tenth Floor, National Mutual Centre, 41 Shortland Street, Auckland, not later than 4 o'clock in the afternoon on the 20th day of July 1989.

Notice is hereby given that by duly signed entry in its minute book signed in accordance with section 362 (1) of the Companies Act 1955, the above-named company on the 20th day of June 1989, passed the following special resolution:

"That the company cannot by reason of its liabilities continue its business and that it is advisable to wind up and that accordingly the company be wound up voluntarily."

Pursuant to section 362 (8) of the Companies Act 1955, the company does hereby give notice that a meeting of its creditors will be held at 10 a.m. on the 3rd day of July 1989 at the offices of Spicer & Oppenheim, Level 9, Westpac Tower, 120 Albert Street, Auckland for the purposes of appointing a liquidator or liquidators and appointing a committee of inspection and for considering such other matters as may be necessary.

Any person entitled to attend this meeting may, by delivering notice in writing to the provisional liquidators no later than 4 p.m. on 2 July 1989 appoint any person whether so entitled or not as their proxy to attend and vote at this meeting.
