In the matter of Rob Kennard Engines Ltd. and in the matter
of a debenture issued by Rob Kennard Engines Ltd. (hereinafter called "the debtor company") in favour of UDC
Finance Ltd. (hereinafter called "the debentureholder"):

Whereas on the 5th day of April 1988 the debtor company issued a debenture to the debentureholder, securing inter alia,
all advances plus interest and other moneys as therein described a copy of which debenture was registered in the
office of the Registrar of Companies at Christchurch on the 13th day of April 1988.

And whereas the said debenture provided, inter alia, that the debentureholder may appoint any person or persons to be receivers and managers of the debtor company forthwith upon the principal sum secured thereby becoming payable, which would occur, inter alia, when the debtor company becomes insolvent.

And whereas the debtor company has become insolvent.

Now therefore in pursuance of the powers conferred upon it by the said debenture, the debentureholder doth hereby
appoint Peter Wiliam Young, and Spencer William Bullen, both chartered accountants of Christchurch, jointly and
severally to be the receivers and managers by the provisions of the said debenture.

Notice of Appointment of Receiver and Manager

Shona Kathleen Cowley and Anthony Sellers Moore, give notice that on the 14th day of June 1989, they appointed Roy
James Cowley of Wellington, chartered accountant, receiver and manager of the undertaking and/or property, both present
and future (including uncalled capital, unpaid capital and goodwill) of Bellettra Holdings Ltd., pursuant to the terms
contained in debenture dated the 22nd day of June 1987, a copy whereof was duly registered in the Registrar of
Companies at Auckland on the 30th day of June 1987.

The offices of the receiver and manager are situated at the offices of Touche Ross, Investment Centre, corner Featherston
and Ballance Streets, Wellington.
