1989, the following special resolution was passed by the company:

  1. That a declaration of solvency having been filed in accordance with section 274 (2) of the Companies Act 1955, the company be wound up voluntarily.

  2. That Norman Stewart Campbell and Michael Alan Frampton, be appointed liquidators.

  3. That pursuant to section 294 (1) (a) of the Companies Act 1955, the liquidators be empowered to compromise all calls and liabilities to call, debts and liabilities capable of resulting in debts, subsisting or supposed to subsist between the company and a contributory or other debtor, and all questions relating to or affecting the assets or the winding up of the company, on such terms as may be agreed.

Notice of Resolution for Voluntary Winding Up

In the matter of the Companies Act 1955, and in the matter of Commercial Pacific Corporation Ltd. (in liquidation):

Notice is hereby given that by a duly signed entry in the minute book of the above-named company on the 16th day of June 1989, the following extraordinary resolution was passed by the company, namely:

  1. That the company cannot by reason of its liabilities continue business and that it is advisable to wind up, and accordingly, the company be wound up voluntarily.

  2. That Paul Richard Preston and John Anthony Waller, chartered accountants of Auckland, be nominated as liquidators jointly and severally.
