In the matter of the Companies Act 1955, and in the matter of a debenture issued by Nesselin Holdings Ltd. (hereinafter called “the company”) in favour of Morris Vernon Collett and Raewyn Alice Collett (hereinafter called “the debenture holder”):

Whereas the company issued a mortgage debenture bearing date the 27th day of April 1983 (hereinafter called “the debenture”) in favour of the debenture holder to secure advances by the debenture holder to the company and interest thereon and all other moneys mentioned therein owing by the company to the debenture holder.

And whereas a default has been made by the company which makes the moneys due under the debenture to become payable upon demand.

And whereas the company has not paid the money owing under the debenture and default has been made in payment of the moneys owing under and secured by the debenture.

And whereas upon failure to pay the moneys owing the total moneys secured by the debenture became immediately repayable in terms of the default provisions in the debenture.

Now therefore in pursuance of the powers conferred by the debenture the debenture holder doth hereby appoint David Richardson Hosking of Auckland, company director, to be the receiver and manager of the property charged by the debenture with all and each of the powers conferred upon a receiver and manager under the provisions of the debenture and by law.

That Russell Martin Toplis, be and is hereby appointed liquidator of the company.”
