Notice of Appointment of Receivers and Managers

Pursuant to Section 346 (1) of the Companies Act 1955

Elders Merchant Finance Ltd., a company having its registered office at Wellington and acting through its Hong Kong branch, hereby gives notice that on 15 April 1988 it appointed Bruce McCallum and Geoffrey Edward Fuller, both of Wellington, chartered accountants to be receivers and managers of certain property of Melvin Finance Ltd. (“the company”), under the provisions of a deed of mortgage dated 30 March 1987 granted in its favour by the company (“the mortgage”), such property being described in the mortgage as “the mortgaged premises”. The address and description of the said Bruce McCallum and Geoffrey Edward Fuller is at the offices of Messrs Price Waterhouse, IBM House, 155-161 The Terrace, Wellington, New Zealand. A brief description of the property in respect of which the receivers and managers have been appointed is as follows:

(a) A British Aerospace BA3 125 Series 800B aircraft, serial No. 258058, registration No. ZK-EUI, including 2 Garrett TFE 731 Turbofan engines, serial No. P91226 and P91231, certain parts and extras, any replacement part of parts and any technical manuals and records relating to the aircraft.

(b) The right title and interest of the company under a lease of the aircraft referred to above, dated 23 December 1986, granted by the company as lessor to Northern Endeavours Ltd.

(c) The proceeds of sale of the aircraft described above.

(d) The rights of the company in all policies and contracts and insurance in respect of the aircraft described above.

(e) The rights of the company under all dealer’s, manufacturer’s and subcontractor’s warranties, guarantees, indemnities, bonds or other rights whatsoever relating to the aircraft described above.
