Notice of Resolution for Voluntary Winding Up
In the matter of the Companies Act 1955, and in the matter of Bill Norris Autos Ltd.:
Notice is hereby given that by duly signed entry in the minute book of the above-named company on the 26th day of April 1988, the following extraordinary resolution was passed by the company, namely:
"That the company cannot by reason of its liabilities continue its business and that it is advisable to wind up, and that accordingly the company be wound up voluntarily."

On the 26th day of April 1988 the company passed a resolution that the official assignee be appointed provisional liquidator. On the 27th day of April 1988 Frederick Nelson Watson and Gerald Stanley Rea whose address is care of Messrs Peat Marwick, Tenth Floor, National Mutual Centre, Shortland Street, Auckland, were appointed provisional liquidators in place of the official assignee.

Notice is hereby given that by an entry into the minute book, signed in accordance with section 362 (1) of the Companies Act 1955, the above-named company on the 26th day of April 1988, passed a resolution for voluntary winding up and that a meeting of the creditors of the above-named company will accordingly be held at 2.15 p.m. on the 9th day of May 1988, in the Conference Room of Peat Marwick, Plaza Floor, National Mutual Centre, Shortland Street, Auckland.
Business:
(i) Consideration of a statement of the position of the company's affairs and list of creditors.
(ii) Nomination of liquidator.
(iii) Appointment of committee of inspection if thought fit.

- By a duly signed entry in the minute book of the above-named company dated the 2nd day of May 1988, the following special resolution was passed by the company:
"That the company having ceased trading, the shareholders no longer having use for it, and a declaration of solvency having been filed with the Registrar of Companies at Auckland in accordance with section 274 (2) of the Companies Act 1955, the company be wound up voluntarily and John Warren Stanton of Auckland, chartered accountant be appointed as liquidator."
- A meeting of members of the above-named company will be held at the offices of Messrs Bouvden Impney and Sage, 470 Parnell Road, Parnell at 9 a.m. on the 20th day of May 1988, for the purpose of receiving the liquidator's account of the winding up, showing how the winding up has been conducted and the property of the company has been disposed of, and to enable the liquidator to give an explanation thereof.
