Notice of Special Resolution

Notice is hereby given that the following special resolutions were duly passed on the 30th day of March 1988, by means of an entry in the minute book of the company, pursuant to the provisions of section 362 of the Companies Act 1955:

“1. That the company be wound up voluntarily.

2. That Haddon Miller Speakman be and is hereby appointed liquidator for the purpose of winding up the affairs of the company, and distributing the assets.”

Notice is hereby given that by an entry in the respective minute books of each of the above companies on 5 April 1988, the following special resolution was passed by each such company:

“That the company be wound up voluntarily.”

All of the above companies are wholly owned subsidiaries of New Zealand Wines & Spirits Ltd. Their businesses have been transferred to New Zealand Wines & Spirits Ltd. to simplify the group operating structure, and accordingly they are all being wound up as their continued existence is no longer required by New Zealand Wines & Spirits Ltd.

“That the company be wound up voluntarily.”

Both of the above companies are wholly owned subsidiaries of New Zealand Wines & Spirits Ltd. Their businesses have been transferred to New Zealand Wines & Spirits Ltd. to simplify the group operating structure, and accordingly they are both being wound up as their continued existence is no longer required by New Zealand Wines & Spirits Ltd.

Notice is hereby given that the undersigned, the liquidator of Lompark Properties Ltd., which is being wound up voluntarily, does hereby fix the 29th day of April 1988, as the day on or before which the creditors of the company are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved or as the case may be, from objecting to the distribution.

Pursuant to Section 268 of the Companies Act 1955:

Notice is hereby given that by a duly signed entry in the minute book of the above-named company on the 6th day of April 1988, the following special resolution was passed by the company:

That as a result of the company ceasing to trade and a declaration of solvency having been filed in accordance with section 274 (2) of the Companies Act 1955, the company be wound up voluntarily and Kevin James Beardsley of Coopers & Lybrand, Chartered Accountants, P.O. Box 48, Auckland, be appointed liquidator.
