Notice of Appointment of Receiver and Manager

Pursuant to Section 346 (1) of the Companies Act 1955

Dirty Dicks Elizabethan Restaurant (1982) Ltd., a duly incorporated company having its registered office at 9 Manukau Road, Auckland, hereby gives notice that on the 11th day of March 1988, it appointed Neil Gene Govenlock, chartered accountant of Lay Dodd & Partners, Prudential Building, Auckland as receiver and manager of the property of Fat Mommas Spaghetti Factory Ltd. under the powers contained in a debenture dated 10th June 1987, which property consists of all the undertaking goodwill and assets relating to the operation of the business carried on by the said Fat Mommas Spaghetti Factory Ltd.

Notice of Appointment of Receivers and Managers

Pursuant to Section 346 (1) of the Companies Act 1955

ANZ Banking Group (New Zealand) Ltd. being the registered holder of Mortgage Debenture dated the 20th day of August 1986, issued by the above-named company, do hereby appoint Gerald Stanley Rea and Frederick Nelson Watson both of Auckland, chartered accountants to be receivers and managers jointly and severally of the property charged by the said debenture, with all the powers conferred by the said debenture on receivers and managers appointed thereunder and subject to the terms and conditions of the said debenture relating to the appointment of receivers and managers thereunder and at such rate of remuneration as shall be agreed on between the bank and the receivers and managers or in default of agreement as shall be fixed by the Court on the application of the said receivers and managers and so that the receivers and managers shall be deemed to be the agent of the said company and not of the bank as provided in the said debenture.
