Notice of Appointment of Receivers and Managers

ANZ Banking Group (New Zealand) Ltd., a duly incorporated company having its registered office at Auckland, hereby gives notice that, on the 29th day of February 1988, it appointed Frederick Nelson Watson and Gerald Stanley Rea, both of Auckland, chartered accountants, as receivers and/or managers of the property of Mason Advertising Ltd. under the provisions contained in a debenture dated the 16th day of December 1986, which property consists of all the assets and undertaking of the business operated by the said Mason Advertising Ltd. at Auckland and elsewhere.

The address of the said Frederick Nelson Watson and Gerald Stanley Rea is at the office of Peat Marwick, Chartered Accountants, National Mutual Centre, Shortland Street, Auckland.

Notice of Appointment of Receiver and Manager

Pursuant to Section 346 (1) of the Companies Act 1955

ANZ Banking Group (New Zealand) Ltd., a duly incorporated company having its registered office at Wellington, hereby gives notice that, on the 26th day of February 1988, it appointed John Maurice Wilson and Peter Ronald Ballantyne, both of Christchurch, chartered accountants, as joint and several receivers and managers of the property of Ali Holdings Ltd., under the powers contained in a debenture dated the 24th day of June 1984, which property consists of all the undertaking, goodwill and assets relating to the operation of the business carried on by the said Ali Holdings Ltd.

Further particulars can be obtained from the receivers whose address is at the offices of Messrs Touche, Ross and Co., 291 Madras Street, Christchurch.

"Receivers note: The governing director formed the opinion that the company is insolvent. They therefore requested the debenture holder to appoint a receiver. The debenture holder has accordingly acted upon their recommendation."

In the matter of Discount City Carpets (NZ) Ltd (hereinafter called 'the company'), and in the matter of a debenture issued by the company in favour of ANZ Banking Group (New Zealand) Ltd. (hereinafter called 'the debenture holder'):

Whereas the company issued in favour of the debenture holder a debenture bearing date the 25th day of October 1978, and registered with the Registrar of Companies, at Auckland, on the 14th day of October 1987 (hereinafter called 'the debenture'); and whereas the debenture secures the debenture holder all loans, advances, credits or banking accommodation together with interest thereon and other moneys as provided in the debenture; and whereas demand for payment of the sums then outstanding was made on the company on this date; and whereas the company has failed to meet such demand for repayment, and the monies secured by the debenture have become payable in accordance with the provisions of the debenture.

Now therefore, in pursuance of the powers conferred by the debenture, the debenture holder hereby appoints Frederick Nelson Watson and Graeme George McDonald both of Auckland, chartered accountants, to be jointly and severally receivers and managers of the property charged by the debenture, with all and every the powers conferred upon receivers and managers under the provisions of the debenture and by law; and agrees that the receivers shall be entitled to fees calculated in accordance with the schedule of fees from time to time in use by Messrs Peat Marwick, Chartered Accountants, Auckland, such fees being chargeable in respect of time spent on the receivership by the receivers and their staff.
