(a) A special resolution that the company be wound up voluntarily;
(b) An ordinary resolution that Richard John Cameron Forbes of Auckland, solicitor, be and is hereby appointed liquidator for the purpose of winding up the affairs of the company and distributing the assets.

Notice Calling Final Meeting
Notice is hereby given, pursuant to section 281 of the Companies Act 1955, that a general meeting of the above-named company will be held at the office of Carter Holt Harvey Ltd., 640 Great South Road, Manukau City, Auckland, on the 25th day of February 1988 at 9 o'clock in the forenoon, for the purpose of having accounts laid before it showing how the winding up of the company has been conducted and the property of the company has been disposed of, and for receiving any explanations thereof by the liquidator.
Further Business:
To consider and if thought fit, to pass in respect of each company, pursuant to section 328 (1) (b) of the Companies Act 1955, the following resolution as an extraordinary resolution, namely:
That the books of account and records of the company and those of the liquidator be placed in the hands of Carter Holt Harvey Ltd., to be retained in safe custody in accordance with the Companies Act 1955, as that company shall think fit.
Every member entitled to attend and vote at the meeting is entitled to appoint a proxy to attend and vote instead of him. The proxy need not also be a member.

Notice is hereby given that a petition for the winding up of the above-named company by the High Court was, on the 27th day of November 1987, presented to the said Court by Antons Seafoods Limited, a duly incorporated company having its registered office at Auckland; and that the said petition is directed to be heard before the Court sitting at Auckland on the 17th day of February 1988 at 11 o'clock in the forenoon; and any creditor or contributory of the said company desirous to support or oppose the making of an order on the said petition may appear at the time of hearing in person or by his counsel for that purpose; and a copy of the petition will be furnished to any creditor or contributory of the said company requiring a copy on payment of the regulated charge for the same.
