In the matter of the Companies Act 1955, and in the matter of Gordon Brothers Ltd. (in voluntary liquidation, members' winding up):

At an extraordinary general meeting of the above-named company, duly convened and held at Auckland on the 14th day of November 1988, the following special resolutions were duly passed:

That the company be wound up in a members' voluntary winding up and that Robert K. Wright, chartered accountant of Auckland be and he is appointed liquidator for the purpose of winding up the affairs of the company and distributing the assets.
