In the matter of the Companies Act 1955, and in the matter of PME (Wellington) Ltd.:

Notice is hereby given pursuant to section 18 (5) of the Companies Act 1955, that PME (Wellington) Ltd. intends, by an entry in the minute book of the company pursuant to section 362 of the Companies Act 1955, to pass the following resolution as a special resolution for the purpose of altering the provisions of the memorandum of association of the company with respect to the objects and powers of the company:

“That the memorandum of association of the company be altered by deleting therefrom clauses 3, 4 and 5 and that henceforth the company shall have all the rights, powers and privileges of a natural person (including the powers referred to in subsection (1) (a) to (h) of section 15A of the Companies Act 1955).”

(in receivership) and the various subsidiaries of the company as listed above, hereby give notice that on 21 October 1988 it appointed James Bruce Alfred McAlister and David John Strack, chartered accountants, whose offices are at Deloitte Haskins & Sells, Deloitte House, 32 Oxford Terrace, Christchurch, jointly and severally as receivers and managers of the companies under the powers contained in an instrument dated the 16th day of December 1983.

The receivers have been appointed in respect of all the companies undertakings and all their real and personal property and all their assets and effects, wheresoever and wheresover both present and future, including their uncalled and unpaid capital.
