Advertisement of Application for Winding Up of Company by the Court

Take notice that on the 24th day of August 1988, an application for the winding up of International Employment Agencies Limited by the High Court was filed in the High Court at Auckland.

The application is to be heard before the High Court at Auckland on Wednesday, the 9th day of November 1988 at 11.45 a.m.

Any person, other than the defendant company, who wishes to appear on the hearing of the application must file an appearance not later than the second working day before that day.

The applicant is Wilson and Horton Limited, whose address for service is at the offices of Messrs Bell Gully Buddle Weir, Fourth Floor, DFC Building, corner Queen and Rutland Streets, Auckland 1.

Further particulars may be obtained from the office of the Court or from the applicant or the applicant’s solicitor.

Take notice that on the 29th day of August 1988, an application for the winding up of Brentford Estates Limited by the High Court was filed in the High Court at Auckland. The application is to be heard before the High Court at Auckland on the 9th day of November 1988 at 11.45 a.m.

Any person, other than the defendant company, who wishes to appear on the hearing of the application must file an appearance not later than the second working day before that day.

The applicant is Nicholson Gribbin, solicitors, whose address for service is at their offices, Fourteenth Floor, Quay Tower, corner Customs Street West and Lower Albert Street, Auckland 1. Attention: G. C. Everard.

Under the Companies Act 1955, sections 75, 76, 77 and 78 and in the matter of Hamelyn UPC Limited, a duly incorporated company having its registered office at Nineteenth Floor, BNZ Tower, 125 Queen Street, Auckland—Applicant:

Before the Honourable Mr Justice Robertson

Friday, the 16th day of September 1988

Upon reading:
(1) The statement of claim.
(2) The ex parte notice of application for orders confirming reduction of capital, approving minute and giving directions as to publication and as to the application of sections 76 (2) and 77 (2) of the Companies Act 1955.
(3) The affidavit of Bryn Alexander Jamieson.

And upon reading the memorandum of Ms M. R. Dean of counsel for the applicant filed in support this Court orders:

  1. That the resolution passed at the annual general meeting of members of the applicant on the 1st day of June 1988 as a special resolution to reduce the share capital of the applicant be confirmed.

  2. That the following minute showing the amount of the capital of the applicant be approved:

"The authorised capital of Hamelyn UPC Limited is $16,540,000 divided into 32,700,000 shares of $0.20 each having been reduced from $20,000,000 divided into 100,000,000 shares of $0.20 each and the issued capital is $6,940,000 divided into 32,700,000 shares of $0.20 each and 2,000,000 shares of $0.20 each paid to $0.01 having been reduced from $10,400,000 divided into 50,000,000 fully paid ordinary shares of $0.20 each and 2,000,000 shares of $0.20 each paid to $0.01."

  1. That notice of the registration of the said order confirming the reduction in capital and the said minute be published once in the New Zealand Gazette within 1 month after such registration.

  2. That the provisions of section 76 (2) of the Act shall not be applied to this application as regards any of the creditors of the company.

  3. That the provisions of section 77 (2) of the Act shall not be invoked on the making of the orders sought in this application.

Notice is hereby given that a petition for the winding up of the above-named company by the High Court was, on the 28th day of July 1988, presented to the said Court by A. & J. Drywall Limited, a duly incorporated company having its registered office at Auckland and carrying on the business of contractor; and that the said petition is directed to be heard before the Court sitting at Wellington on the 26th day of October 1988 at 11.45 o’clock in the forenoon; and any creditor or contributory of the said company desirous to support or oppose the making of an order on the said petition may appear at the time of hearing in person or by his counsel for that purpose; and a copy of the petition will be furnished by the undersigned to any creditor or contributory of the said company requiring a copy on payment of the regulated charge for the same.
