Notice Calling Final Meeting

In the matter of the Companies Act 1955, and in the matter of Plastic Manufacturers Ltd. (in liquidation):

Notice is hereby given in pursuance of section 281 of the Companies Act 1955, that a general meeting of the above company will be held at the offices of Deloitte Haskins & Sells, Chartered Accountants, 32 Oxford Terrace, Christchurch on Thursday, the 6th day of October 1988 at 2.05 p.m., for the purpose of having an account laid before it showing how the winding up has been conducted and the property of the company has been disposed of, and to receive any explanation thereof by the liquidator.

Further Business:

To resolve pursuant to section 328 (1) (b) of the Companies Act 1955, how the books, accounts and documents of the company and the liquidator are to be disposed of.

Every member entitled to attend and vote at the meeting is entitled to appoint a proxy to attend and vote instead of him. A proxy need not also be a member.

  2. That Charles Joseph Stack of Nelson, chartered accountant, be appointed liquidator for the purpose of winding up the company.

Notice of Voluntary Winding Up Resolution

Pursuant to section 269 of the Companies Act 1955, notice is hereby given that by means of an entry in the minute book of Karapiro Downs Ltd. in accordance with section 362 of the Companies Act 1955, the following extraordinary resolution was duly passed on the 8th day of December 1987:

"That the company cannot by reason of its liabilities continue its business, and that it is advisable to wind up, and that accordingly the company be wound up voluntarily."

Notice to Creditors to Prove

Notice is hereby given that the undersigned, the liquidator of Karapiro Downs Ltd. which is being wound up voluntarily, does hereby fix the 3rd day of October 1988 as the day on or before which the creditors of the company are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved, or, as the case may be, from objecting to the distribution.
