That the memorandum of association of the company be amended by inserting the following clause as clause IV and renumbering clause VI as clause V:

"IV. The company shall have the rights, powers and privileges of a natural person (including the powers referred to in subsection 1 (a) to (h) to section 15A of the Companies Act 1955)."

In the matter of the Companies Act 1955, and in the matter of a debenture trust deed issued by Loan and Finance Dunedin Ltd. (hereinafter called “the company”) in favour of The New Zealand Guardian Trust Company Ltd. (hereinafter called “the debenture holder”):

Whereas:

a. The company and the debenture holder are parties to a debenture trust deed dated 23 April 1981 (the “trust deed”) pursuant to which the company charged its assets in favour of the trustee for the purposes of securing borrowings by the company from time to time.

b. The company has requested the debenture holder to appoint a receiver of the company. As a consequence the security constituted by the trust deed has, pursuant to clause 7.01 of the trust deed, become enforceable. The debenture holder is accordingly entitled to appoint a receiver and manager of the charged premises (as defined in the trust deed).

Now therefore in pursuance of the powers conferred by the trust deed the debenture holder hereby appoints Trevor Donald Scott and Sandra Elma Goodchild, both of Dunedin, chartered accountants, jointly and severally to be the receivers and managers of Loan and Finance Dunedin Ltd. and the charged premises (as that term is defined in the trust deed) with all the powers conferred upon a receiver and manager under the provisions of the trust deed and by law. Subject to the provisions of the trust deed, the receivers and managers remuneration shall be as may be agreed in writing from time to time by the trustee and the receivers and managers.
