Notice of Meeting of Members

To: All members of and shareholders in J. Prime & Sons Ltd.

Notice is hereby given that a meeting in the nature of an ordinary general meeting of J. Prime & Sons Ltd. (in liquidation) is hereby called, and such meeting is to be held at the Boardroom of Messrs Blight Dodgson & Co., Chartered Accountants, 31 Tui Street, Taihape (being the address of the registered office of J. Prime & Sons Ltd.), at 2 p.m. on Friday, the 7th day of October 1988. The purpose of the meeting is to lay before the meeting the liquidator’s account of the winding up of J. Prime & Sons Ltd. (in liquidation), and to give any explanation thereof as may be required in all respects to satisfy the provisions of section 281 of the Companies Act 1955.

Notice of Resolution for Members’ Voluntary Winding Up and Notice to Creditors to Prove Debts or Claims

In the matter of the Companies Act 1955, and in the matter of Window Fashions Ltd. (in liquidation):

Notice is hereby given that by a duly signed entry in the minute book of the above-named company on the 12th day of September 1988, the following special resolution was passed by the company:

“That a declaration of solvency having been filed in accordance with section 274 (2) of the Companies Act 1955, the company be wound up voluntarily.”

Notice is further given that the undersigned, the liquidator of Window Fashions Ltd. (in liquidation), which is being wound up voluntarily, does hereby fix the 7th day of October 1988, as the day on or before which the creditors of the company are to prove their debts, and to establish any title they may have to priority under section 308 of the Companies Act 1955 or to be excluded from the benefit of any distribution made before the debts are proved or, as the case may be, from objecting to the distribution.

Dated at Palmerston North the 12th day of September 1988.

Note: This is a voluntary winding up by the shareholders as the company has ceased trading and is no longer required.

In the matter of the Companies Act 1955, and in the matter of M. Ross and S. Stacey Ltd. (in liquidation), trading as Its Sew Easy:

Notice is hereby given that a meeting of creditors in the above matter will be held in accordance with section 291 of the Companies Act 1955, on Friday the 7th day of October 1988 at 2 p.m. at the offices of Deloitte Haskins & Sells, 1 Victoria Street, Southpac House, Eighth Floor, Wellington.

Business:

To receive a final report on the liquidation.

To lay the accounts of the liquidation before the meeting.

To seek approval for the liquidators to deal with the books and records of the company as they see fit.

Form of general and special proxies are enclosed herewith.
Proxies to be used at the meeting must be lodged with the liquidators at the above address, not later than 12 noon on the 7th day of October 1988.
