Notice is hereby given that by duly signed entry in the minute book of the above-named company on the 17th day of August 1988, the following extraordinary resolution was passed by the company, namely:
That the company cannot by reason of its liabilities continue its business and that it is advisable to wind up and that accordingly, the company be wound up voluntarily and Raymond Wing, chartered accountant of Auckland be appointed as liquidator.

Notice Calling Final Meetings of Members and Creditors
In the matter of the Companies Act 1955, and in the matter of Bruce Industries Ltd. (in liquidation):
Notice is hereby given in pursuance of sections 290 and 291 of the Companies Act 1955, that meetings of the members and creditors of the above-named company will be held at the office of G. R. Leech & Co., 248 East Street, Ashburton on Friday, 16 September 1988 at 4.30 p.m. for the purpose of having an account laid before it showing how the winding up has been conducted and the properties of the company have been disposed of, and to receive any explanations thereof by the liquidators.
Further Business:
To resolve pursuant to section 328 (1) (b) that the liquidators be authorised to dispose of the books of the company and of the liquidator as he thinks fit.
Every member or creditor entitled to attend and vote at the meetings is entitled to appoint a proxy to attend and vote for them. A proxy need not be a member or creditor respectively.
Proxies to be used at the meetings must be lodged at the office of G. R. Leech & Co., Ashburton not later than 4 p.m. on Thursday, 15 September 1988.

Notice is hereby given that by duly signed entry in the minute book of the above-named company on the 31st day of August 1988, the following special resolution was passed by the company, namely:

That the company, having filed a declaration of solvency, be wound up voluntarily.

That Bruce Marshall Rankine of Auckland, chartered accountant, be and is hereby appointed liquidator.
The liquidator hereby fixes the 7th day of November 1988 as the day on or before which the creditors of the company are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved or as the case may be, from objecting to the distribution.
