In the matter of the Broadcasting Act 1976, and in the matter of an application by Metropolitan FM Broadcasting Ltd. for consent to have a prescribed interest in sound-radio warrant AM 45 held by Independent Broadcasting Company Ltd. and in sound-radio warrant 1KIW-FM held by Waikato-Bay of Plenty FM Ltd. and in the matter of an application for approval of directorship by T. C. Egerton:

The Tribunal consents to Metropolitan FM Broadcasting Ltd. having a prescribed interest in Warrant AM-45 held by Independent Broadcasting Company Ltd.

The Tribunal consents to Metropolitan FM Broadcasting Ltd. having a prescribed interest in Warrant 1KIW-FM held by Waikato-Bay of Plenty FM Ltd.

Pursuant to condition 5 of warrant AM-45, the Tribunal consents to the total aggregate shareholding by one or more news companies as defined in condition 5 of the warrant, whether as beneficial owner or otherwise, in Independent Broadcasting Co. Ltd. exceeding 30% of the issued capital of the company on the following conditions:
(a) The shareholding of Independent Publishing Co. Ltd. and Independent News Ltd. shall together not exceed 50% of the issued capital of the company after the 3rd day of September 1988.
(b) The shareholding of Metropolitan FM Broadcasting Ltd. shall not exceed 50% of the issued capital of the company.
(c) The consent shall remain in force only so long as:
(i) Metropolitan FM Broadcasting Ltd. does not take any shares in Independent Newspapers Ltd. or any subsidiary thereof either directly or indirectly and; (ii) Independent Newspapers Ltd. does not take any shares in Metropolitan FM Broadcasting Ltd. either directly or indirectly and; (iii) the ownership or control of Metropolitan FM Broadcasting Ltd. does not change to the extent that any shareholder which is a news company (as defined in the warrant) gains a prescribed interest in that company. -
Pursuant to condition 8 of the warrant 1KIW-FM, the Tribunal consents to the total aggregate shareholding by one or more news companies as defined in condition 8 of the warrant whether as beneficial owner or otherwise, in Waikato-Bay of Plenty FM Ltd. exceeding 30% of the issued capital of the company on the following conditions:
(a) The company remains a wholly owned subsidiary of Independent Broadcasting Co. Ltd.
(b) The shareholding of Independent Publishing Co. Ltd. and Independent News Ltd. in Independent Broadcasting Co. Ltd. shall not exceed 50% of the issued capital of the company.
(c) The shareholding of Metropolitan FM Broadcasting Ltd. in Independent Broadcasting Co. Ltd. shall not exceed 50% of the issued capital of the company.
(d) The consent shall remain in force only so long as:
(i) Metropolitan FM Broadcasting Ltd. does not take any shares in Independent Newspapers Ltd. or any subsidiary thereof either directly or indirectly and; (ii) Independent Newspapers Ltd. does not take any shares in Metropolitan FM Broadcasting Ltd. either directly or indirectly.
