Notice is hereby given that a petition for the winding up of the above-named company by the High Court was, on the 8th day of July 1988, presented to the said Court by Jean Noeline O’Brien of Wharepoa, married woman and that the said petition is directed to be heard before the Court sitting at Hamilton on the 22nd day of August 1988 at 10 o’clock in the forenoon; and any creditor or contributory of the said company desirous to support or oppose the making of an order on the said petition may appear at the time of hearing in person or by his counsel for that purpose; and a copy of the petition will be furnished to any creditor or contributory of the said company requiring a copy on payment of the regulated charge for the same.

We, the parties named and described hereunder do hereby certify that by registration hereunder we do hereby constitute and renew a Special Partnership under the provisions of Part II of the Partnership Act 1908 originally formed on the 12th day of November 1979; and do hereby further certify pursuant to the provisions of section 31 of the said Act as follows:

(a) The style of the firm under which the partnership is to be conducted is Dominion Exporters Limited and Company;

(b) The names and places of residence of all the partners are as follows:

General Partner: Dominion Exporters Limited, a duly incorporated company having its registered office at 425 Lake Road, Takapuna, Auckland 9.

Special Partner: Vincent John William Heffernan of 27 Rosario Crescent, Red Beach, Hibiscus Coast, Engineer;

(c) That amount of capital being contributed to the common stock of the partnership by the partners is as follows:

General Partner: Dominion Exporters Limited $1,000.00

Special Partners: Vincent John William Heffernan $19,000.00

$20,000.00

(d) The general nature of the business to be transacted by the partnership is that of manufacturers and export merchants and to:

(i) Promote and aid the development of exports from New Zealand to other countries.

(ii) Buy, sell, import, export and deal in raw materials and manufactured goods of all classes and types;

and such other business as may from time to time seem to the partners as convenient or conducive to the attainment of the objects of the partnership.

(e) The principal place where business is to be transacted is at the office and factory premises situate at 149 Wairau Road, Takapuna, Auckland.

(f) The partnership is an existing one and is now constituted and renewed from and including the 16th day of July 1986 and is to terminate on the 31st day of March 1993.
