Notice is hereby given that a petition for the winding up of the above-named company by the High Court was, on the 27th day of June 1988, presented to the said Court by Brake and Transmission (N.Z.) Limited, a duly incorporated company having its registered office at Auckland; and that the said petition is directed to be heard before the Court sitting at Wellington on the 17th day of August 1988 at 11.45 o’clock in the forenoon; and any creditor or contributory of the said company desirous to support or oppose the making of an order on the said petition may appear at the time of hearing in person or by his counsel for that purpose; and a copy of the petition will be furnished to any creditor or contributory of the said company requiring a copy on payment of the regulated charge for the same.

Notice is hereby given that a sealed copy of the order of the High Court of New Zealand dated the 13th day of July 1988, sanctioning the scheme of arrangement was registered with the Registrar of Companies at Auckland on the 15th day of July 1988. The said order is as follows:
“This Court hereby orders that:

The scheme of arrangement dated the 7th day of June 1988 between Paladin Investments Limited and its members and optionholders, approved by resolutions passed on the 4th day of July 1988 by respective holders at the ordinary shares in the company at a class meeting of shareholders and by the holders of options to subscribe for ordinary shares in the company at a class meeting of optionholders be and is hereby sanctioned.

The cancellation of all the options to subscribe for the ordinary shares of Paladin NZ resolved on the 4th day of July 1988 by the optionholders at the special general meeting where the following resolution was passed:
‘That for the purpose of giving effect to the scheme and subject to the scheme being approved by the High Court of New Zealand and becoming operative, all the options to subscribe for $0.50 ordinary shares in the capital of the company be cancelled as at 5 p.m. on the day immediately preceding the operative date (as defined in the scheme of arrangement)’
is hereby confirmed.
