book of the above-named company on the 15th day of June 1987,
the following extraordinary resolution was passed by the company,

"That the company cannot by reason of its liabilities continue
its business and that it is advisable to wind up, and that
accordingly the company be wound up voluntarily".

that the official assignee be appointed provisional liquidator. On
