NOTICE OF EXTRAORDINARY GENERAL MEETINGS TO CONSIDER SPECIAL RESOLUTIONS

In the matter of the Companies Act 1955, and in the matter of P. C. BLENKARNE LTD.:

Notice is hereby given that an extraordinary general meeting of the members of the above-named company will be held on the 10th day of June 1987 at the premises of P. C. Blenkarne Ltd., 33 Nugent Street, Auckland at 10 a.m.

Business:
The purpose of each of these meetings is to consider if thought fit to pass the following special resolution:

(a) That pursuant to sections 15A (5) and 18 (1) (a) and (1) (c) of the Companies Act 1955, the memorandum of association of the company is hereby amended by omitting all the objects and powers of the company contained therein and that henceforth the company shall have the rights, powers and privileges of a natural person (including the powers set out in sections 15A (1) (a) to (h)); and

(b) That accordingly the present memorandum of association of the company is amended and the memorandum of association as attached hereto is hereby adopted as the memorandum of association of the company.

The memorandum of association referred to in paragraph (b) of the special resolution set out above is not included in the advertisement but is available for inspection at the offices of Buddle Findlay, BNZ Centre, 1 Wills Street, Wellington.

Proxy: Any member entitled to attend and vote at the meeting may appoint a proxy to attend in his or her stead. The proxy need not be a member of the company.
