NOTICE is hereby given that a petition for the winding up of the above-named company by the High Court was, on the 18th day of March 1987, presented to the said Court by TAUMARUNUI ELECTRICAL LIMITED; and that the said petition is directed to be heard before the Court sitting at Auckland on the 6th day of May 1987 at 10 o’clock in the forenoon; and any creditor or contributory of the said company desirous to support or oppose the making of an order on the said petition may appear at the time of hearing in person or by his counsel for that purpose; and a copy of the petition will be furnished by the undersigned to any creditor or contributory of the said company requiring a copy on payment of the regulated charge for the same.

IN THE MATTER OF the Companies Act 1955, and IN THE MATTER OF an application by WESTRIDGE HOLDINGS LIMITED, for an order confirming reduction of share capital:

BEFORE THE HONOURABLE MR JUSTICE WILLIAMSON
MONDAY, THE 13TH DAY OF APRIL 1987

UPON reading the ex parte notice of application for order confirming reduction of share capital of the applicant company dated the 7th day of April 1987 and the affidavits of GRAHAM RICHARD WOOD and BRIAN WILLIAM STOKES filed herein this Court hereby orders:

(1) That the reduction of paid up capital in the company resolved in the special resolutions passed at the extraordinary general meeting of the company held on 3 April 1987 be confirmed.

(2) That resolution 3 passed at the extraordinary general meeting may not be varied without the prior approval of the Court.

(3) That the following minute showing the amount of capital of the company be approved:

“The authorised or nominal share capital of Westridge Holdings Limited is $5,000,000 divided into:

(i) 3,297,987 fully paid ordinary shares of 20 cents each and
(ii) 21,702,013 unclassified shares of 20 cents each.

The issued and paid up capital of Westridge Holdings Limited is $659,597.40 divided into:

(i) 3,297,987 fully paid ordinary shares of 20 cents each.

As a result of the reduction of capital authorised by special resolutions of the company passed at the extraordinary general meeting of the company held on 3 April 1987 and confirmed by the High Court such authorised or nominal capital of the company has been reduced from $5,000,000 to $4,505,301.95 by the reduction of capital of 15 cents in respect of each of the 3,297,987 fully paid ordinary shares of 20 cents each to $164,899.35 divided into 3,297,987 fully paid ordinary shares of 5 cents each.”

(4) That notice of the registration of the order so to be made and the said minute be published once in the New Zealand Gazette.

(5) There will be no order made pursuant to subsection (2) of section 77 of the Companies Act 1955.
