Notice is hereby given that a petition for the winding up of the above-named company by the High Court was, on the 26th day of February 1987, presented to the said Court by Heyden Coatings Limited; and that the said petition is directed to be heard before the Court sitting at Auckland on the 8th day of April 1987 at 10 o’clock in the forenoon; and any creditor or contributory of the said company desirous to support or oppose the making of an order on the said petition may appear at the time of hearing in person or by his counsel for that purpose; and a copy of the petition will be furnished by the undersigned to any creditor or contributory of the said company requiring a copy on payment of the regulated charge for the same.

Notice of Registration of Order and Minute

Notice is hereby given that the order of the High Court of New Zealand dated the 26th day of February 1987, confirming the reduction of capital of the above-named company from $316,020 to $74,020 and the minute approved by the Court showing, with respect to the capital of the company as altered, the several particulars required by the above-mentioned Act, was registered by the Registrar of Companies on the 27th day of February 1987.

The said minute is in the words and figures following:

"The capital of Steelweld Holdings Limited is $74,020 divided into 74,020 fully paid ordinary shares of $1.00 each having been reduced from $316,020 divided into 316,020 fully paid ordinary shares of $1.00 each."

We, the persons named and described in the Schedule hereto and Sheffield Associates Management Ltd., a duly incorporated company having its registered office at Auckland, do hereby certify that by registration of this certificate we do hereby renew the special partnership under the provisions of Part II of the Partnership Act 1908 and do hereby further certify pursuant to the provisions of section 58 of the said Act as follows:

(a) The style of the firm under which the partnership is to be conducted is South Pacific Motel Partnership Sheffield Associates Management Limited and Company.

(b) The names and places of residence of all the partners are as follows:

General Partner: Sheffield Associates Management Limited, a duly incorporated company having its registered office at Hampton Court Building, Federal St., Auckland.

Special Partners: The persons whose names and addresses are set forth in the Schedule hereto.

(c) The aforesaid special partners have contributed to the common stock of the partnership the sums listed against their respective names in the Schedule hereto. The general partner has contributed to the common stock of the partnership the sum of $1,000.

(d) The general nature of the business transacted by the partnership is that of owning a certain piece of land at Rotorua and carrying on the business of motel proprietors.

(e) The principal place at which the business is to be transacted is at the offices of the general partner, Sheffield Associates Management Limited at Hampton Court Building, Federal Street, Auckland.

(f) The partnership is renewed from the 24th day of November 1986 and is to terminate on the 24th day of November 1993.

Dated at Auckland this 2nd day of March 1987.
