NOTICE OF MEETING TO ALTER MEMORANDUM OF ASSOCIATION

Pursuant to Section 18 of the Companies Act 1955

Notice is hereby given that a general meeting of 181 Services Ltd. will be held at the offices of Arthur Watson Savage, corner Kelvin and Spey Streets, Invercargill, on the 3rd day of April 1987 at 12 noon, for the purpose of receiving and considering the following special resolution:

1. That the company alter its memorandum of association by:
   (a) Adding to clause IV the words:
   “each with power to divide the shares in the capital for the time being into several classes to attach thereto respectively any preferential deferred qualified or special privileges or conditions as may be determined by the company and with power to increase or reduce the said capital.”

   (b) Adding new clauses as follows:
   “V The objects for which the company is established are to set up, establish and carry out in New Zealand and elsewhere the business of providing professional or non-professional technical and administrative expertise staff and services to chartered accountants in public practice including in particular but not by way of limitation general staffing, forward planning, staff training, partner and staff seminars, and general practice development.

   VI The company may only exercise such powers, privileges and rights as are or may be deemed necessary or incidental or conducive to carrying out the objects herein stated.
   
   VII No resolution of shareholders in the company altering the memorandum or articles of association of the company shall be of any effect unless until such resolution is consented to in writing by the New Zealand Society of Accountants. For the purposes of the Contracts (Privity) Act 1982 it is declared that the foregoing provision is intended to be enforceable by the New Zealand Society of Accountants.”
