In the matter of the Companies Act 1955, and in the matter of Wattie Industries Limited, a duly incorporated company having its registered office at Napier:

Notice is hereby given that the order of the High Court of New Zealand dated the 16th day of October 1987, confirming the reduction of capital of the above-named company from the sum of $200,000,000.00 to the sum of $120,390,710.50 and the minute approved by the Court showing, with respect to the capital of the company as altered, the several particulars required by the above-mentioned Act, were registered by the District Registrar of Companies at Napier on the 23rd day of November 1987. The said minute is in the words and figures following:

“The capital of Wattie Industries Limited was, by virtue of a special resolution of the Company and with the sanction of an order of the High Court dated the 16th day of October 1987, reduced from the sum of $200,000,000.00 divided into 12,000,000 12.5% specified preference shares of 50 cents each, 11,250,000 16% specified preference shares of $1.05 each, 224,869,689 ordinary shares of 50 cents each and 139,505,311 unclassified shares of 50 cents each to the sum of $120,390,710.50 divided into 12,000,000 12.5% specified preference shares of 50 cents each, 11,250,000 16% specified preference shares of $1.05 each, 65,651,110 ordinary shares of 50 cents each and 139,505,311 unclassified shares of 50 cents each.

On registration of this minute, the said reduction of capital shall take effect but, by virtue of an ordinary resolution of the company passed on the same day as the special resolution referred to herein, the capital of the company shall be increased immediately following the registration of the said reduction by the same amount as the reduction, thus increasing the capital of the company back to $200,000,000.00 divided into 12,000,000 12.5% specified preference shares of 50 cents each, 11,250,000 16% specified preference shares of $1.05 each, 224,869,689 ordinary shares of 50 cents each and 139,505,311 unclassified shares of 50 cents each.”
