Notice of Proposal to Alter Memorandum of Association
Pursuant to Section 18 of the Companies Act 1955

Kerridge Odeon Corporation Ltd. hereby gives notice that an extraordinary general meeting of members of the company will be held 10.30 a.m. on the 17th day of December 1987 at the registered office of the company, Sixth Floor, 246 Queen Street, Auckland for the purpose of considering and if thought fit to pass the following as special resolutions:

(a) That pursuant to sections 15A (5) and 18 (1) (a) and 18 (1) (c) of the Companies Act 1955, the memorandum of association of the company be amended by omitting all the objects and powers of the company contained therein and that henceforth the company shall have the rights, powers and privileges of a natural person (including the powers referred to in subsection 1 (a) to (h) of section 15A

(b) That accordingly the present memorandum of association of the company is cancelled and the memorandum of association dated the 17th day of December 1987 (which has been signed by the secretary, Peter Vincent Lorrigan, for the purpose of identification) is hereby adopted in its place as the memorandum of association of the company".

Notice of Appointment of Receiver and Manager
Pursuant to Section 346 (1) of the Companies Act 1955

Australasia Commercial Life Insurance Co. Ltd. as debenture holder hereby gives notice that on the 16th day of November 1987, the debenture holder appointed Peter Alan Harris as receiver and manager of the property of Capricorn Textiles Ltd. under the powers contained in a debenture dated the 29th day of April 1986, which property consists of all freehold and leasehold land, fixed plant and machinery, patents, trade names, unpaid and uncalled capital and goodwill and all other assets. The office of the receiver and manager is at ACL House, Level 2, 2 St Martins Lane, Auckland 1.
