Proposal
Wrightson NMA Ltd., Robert Ferrier Ltd. and the New Zealand Wool Board may form the joint venture “Ferrier Woolscour Joint Venture” which may acquire:

(ii) 74 percent of the share capital of UEB Waihi Ltd.;
(iii) the shares which are held or will be held by Wrightson NMA Ltd. or Robert Ferrier Ltd. in:

• Kawa Wool Company (1964) Ltd.;
• Ashburton Woolscour Ltd.;
• Robert Ferrier (Hawkes Bay) Ltd.;
• Ferrier Investments Ltd.
