Notice is hereby given that a petition for the winding up of the above-named company by the High Court was, on the 2nd day of October 1987, presented to the said Court by SWANDRI LIMITED of Waitara, manufacturers, and that the said petition is directed to be heard before the Court sitting at Rotorua on the 9th day of November 1987 at 10 o’clock in the forenoon; and any creditor or contributory of the said company desirous to support or oppose the making of an order on the said petition may appear at the time of hearing in person or by his counsel for that purpose; and a copy of the petition will be furnished to any creditor or contributory of the said company requiring a copy on payment of the regulated charge for the same.

CERTIFICATE

(Pursuant to Section 51)

A. The style of the firm under which the partnership is to be conducted is ADVISORCORP PRETORIA STREET PROPERTIES LIMITED AND COMPANY.

B. General Partner: Advisorcorp Pretoria Street Ltd., Ground Floor, Advisorcorp House, 131–135 Lambton Quay, Wellington.

C. Special Partner: Alan Luke Frost, 16 Woodmanote Road, Khandallah, Wellington, company director.

D. The authorised partnership capital is three hundred and ten (310) units of five thousand dollars ($5,000) each giving a total authorised partnership capital of one million five hundred and fifty thousand dollars ($1,550,000).

E. The amount of capital which each special partner contributes shall be five thousand dollars ($5,000) for each unit allotted to each special partner. The general partner will not be allotted any units in the authorised partnership capital and will not be made any contribution to the common stock.

F. The general nature of the business to be transacted by the partnership shall be the purchase, ownership and leasing of real property in New Zealand and elsewhere and to undertake and carry out any other business which may in the opinion of the general partner and the special partners be conveniently or profitably undertaken by the partnership whether or not such business shall be similar in nature.

G. The principal place at which the partnership business is to be transacted is Ground Floor, Advisorcorp House, 131–135 Lambton Quay, Wellington.

H. The partnership shall commence on date of registration of the special partnership in the High Court at Wellington and terminate upon the sooner to occur of:

(a) The registration of the certificate of dissolution pursuant to section 62 of the Partnership Act 1908; or
(b) The expiration of a period of 7 years from the date of the filing of the certificate of registration of the partnership in the High Court at Wellington; or
(c) If the term of the partnership shall have been extended in accordance with sections 57 and 58 of the Partnership Act 1908, the expiration of the extended term.

This certificate was executed on the 16th day of October 1987 by the following parties in the presence of the under-mentioned Justice of the Peace:

CORRIGENDUM

The following two notices published in the New Zealand Gazette of 18 December 1986, No. 205, page 5546, have been amended.

AUCKLAND REGIONAL AUTHORITY

REVOCATION OF DECLARATION OF LAND REQUIRED FOR THE PURPOSES OF A REGIONAL ROAD

Pursuant to Section 363 of the Local Government Act 1974

Notice is hereby given that the Auckland Regional Authority at its meeting held on 16 June 1986, having obtained the prior written consent of the National Roads Board at its meeting held on 23 April 1986, resolved as follows:

“In pursuance of the powers vested in it by section 363 (5) of the Local Government Act 1974 and of any and every power enabling it in that behalf the Auckland Regional Authority hereby resolves that it be declared as from the 16th day of June 1986 the part regional road described in the Schedule hereto shall cease to be regional road.”

SCHEDULE

ALL that land being part of a regional road situated in the Borough of One Tree Hill shown marked “Lot 1” on land transfer plan 112955 and more particularly described as the portions of land comprised 344 square metres, more or less, being part Lots 1, 2, 3 and 4, Deposited Plan 21128, being contained in certificates of title 669/155 and 18B/827 (North Auckland Registry).

Land transfer plan 112955 is available for inspection at the office of the Secretary, Auckland Regional Authority, Auckland (file reference 9/12/9/78).

I hereby certify that the above is a true copy of a resolution passed by the Auckland Regional Authority on 16 June 1986.
