WESTPAC PROPERTIES-NZ-LTD.

NOTICE OF EXTRAORDINARY GENERAL MEETING

Notice is hereby given that an extraordinary general meeting of shareholders of Westpac Properties-NZ-Ltd. will be held at 12 noon on Friday, the 16th day of October 1987 at the registered office of the company, 318–324 Lambton Quay, Wellington.

Special Business:

To consider and if thought fit to pass the following resolution as a special resolution with or without modification or amendment:

“That the memorandum of association of the company be altered pursuant to section 18 (1) of the Companies Act 1955 by:

(a) omitting all the objects of the company stated therein; and

(b) omitting all the provisions with respect to the powers of the company stated therein.

And that the company have all the rights, powers and privileges of a natural person (including the powers referred to in subsection (1) (a) to (h) of section 15a of the Companies Act 1955).”

Explanatory Note:

Along with many other companies that have taken the opportunity to change their memorandum of association since recent changes in the law were brought into force the directors consider it to be desirable to give the company all the rights and powers of a natural person (without restriction) so that the company may enter into any undertaking or type of business which may benefit the shareholders.

To transact any other business which is appropriate to the meeting.

Proxies:

All members are entitled to attend and vote at the meeting. If they are unable to attend they may appoint a proxy to attend and vote on their behalf. The holder of a proxy need not be a member of the company. Proxy forms are enclosed and must be deposited at the registered office of the company (318–324 Lambton Quay, Wellington) not less than 48 hours before the meeting.

MEMBERS NEW ZEALAND STOCK EXCHANGE

Notice is hereby given that the original partnership between A. W. Macarthur, R. H. Nankervis, D. J. Wickenden and G. B. Macarthur carrying on business as sharebrokers at Wellington under the name Finch, Webster & Nathan has been dissolved as from 31 March 1987.

Notice is also given that the partnership between D. J. Wickenden and G. B. Macarthur that took over the business of the original partnership has been dissolved as from 30 June 1987.

G. B. Macarthur continues to carry on business as a sharebroker under the name Finch, Webster & Nathan at the National Mutual Centre, 153 Featherston Street, Wellington (P.O. Box 2790 or 682). A. W. Macarthur, R. H. Nankervis and E. C. Nathan will continue their association with Finch, Webster & Nathan as consultants.

Notice is hereby given that the undersigned, the liquidator of Contex Textile Importers Ltd, which is being wound up voluntarily, does hereby fix Friday, 16 October 1987, as the day on or before which the creditors of the company are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved, or as the case may be, from objecting to the distribution.
