The special partnership was established at Auckland on 4 September 1980 under the name INTERNATIONAL KIWIFRUIT DISTRIBUTORS LIMITED AND COMPANY.

The names, addresses, occupations and capital contributions of the current general and special partners are as set forth in the Schedule hereto.

The objects for which the partnership was established are:
To purchase, process, manufacture and prepare for market kiwifruit and any produce made therefrom and to sell, export, distribute and otherwise deal in such products and generally to carry on in New Zealand and in any part of the world all or any of the business of importers, exporters, wholesalers, retailers and merchants trading in all classes of goods, wares and commodities of any description whatsoever (hereinafter called "the partnership business").

The principal place from which the partnership business has been conducted is the registered office of the general partner.

The general and special partners have resolved pursuant to the deed of partnership to dissolve the partnership and accordingly the special partnership shall be dissolved upon registration of the certificate pursuant to section 62 of the Partnership Act 1908.
