Notice is hereby given that a petition for the winding up of the above-named company was, on the 5th day of August 1987, presented to the said Court by THE WELLINGTON CITY COUNCIL of 5 Mercer Street, Wellington, a local authority incorporated under the Local Government Act 1974, and that the said petition is directed to be heard before the Court sitting at Wellington on the 2nd day of September 1987 at 10 o’clock in the forenoon; and any creditor or contributory of the said company desirous to support or oppose the making of an order on the said petition may appear at the time of hearing in person or by his counsel for that purpose; and a copy of the petition will be furnished by the undersigned to any creditor or contributory of the said company requiring a copy on payment of the regulated charge for the same.

Before The Honourable Mr Justice Wylie

Friday the 14th day of August 1987

Upon reading the ex parte application dated 3 August 1987 for confirmation of a special resolution for reduction of capital of the applicant and the affidavit of James Frederick Bruford filed herein and upon the application of Bernard Leo Macedo, solicitor on behalf of the applicant and it appearing that the following special resolution was duly passed by means of an entry in the applicant’s minute book signed as provided by section 362 of the Companies Act 1955 on 30 July 1987 namely:

“That the share premium account of the company which has been established pursuant to section 64 of the Companies Act 1955, be and the same is hereby reduced from $73,000.611.50 to $17,113.239 by distributing in cash therefrom the sum of $55,887,372.50 amongst the members rateably in proportion to the amounts paid up on the ordinary shares held by them.”

And that by order made this day by the Honourable Mr Justice Wylie that having regard to the special circumstances of the case it was directed that section 76 (2) of the Companies Act 1955 should not apply to these proceedings this Court hereby orders that:

  1. The foregoing resolution be confirmed.
  2. Delivery of a minute to the Registrar of Companies concerning the distribution from the share premium account, pursuant to section 78 (1) of the Companies Act 1955 and registration of such a minute pursuant to section 78 (2) of the Companies Act 1955, be dispensed with.
  3. A sealed copy of this order be registered with the District Registrar of Companies, Auckland.
  4. Notice of the making of this order be published once in the New Zealand Gazette.
